Glidex Logistics – Terms of Service

1 DEFINITIONS

2 SERVICE DESCRIPTION
We provide scheduled business-to-business delivery services within Grande Prairie, Clairmont, and surrounding areas. Services include:
- Next-day delivery (pickup by 4:00 PM, delivery by 4:00 PM next business day)
- Same-day delivery (where available, additional fees apply)
- Scheduled route contracts
- Rush and express services (subject to availability)
3 SERVICE ELIGIBILITY AND ACCOUNT SETUP
- 3.1Customers must be businesses registered in Canada.
- 3.2We reserve the right to refuse service to any business at our sole discretion.
- 3.3Account approval required before first pickup.
4 PRICING AND PAYMENT
- 4.1Fees are as stated in the applicable Pricing Schedule, incorporated by reference.
- 4.2All prices in Canadian dollars, exclusive of GST.
- 4.3Payment due in advance for monthly subscriptions.
- 4.4Overage charges billed in arrears, due within 7 days.
- 4.5Late payments subject to 1.5% monthly service charge and potential service suspension.
- 4.6We accept: direct deposit, business cheque, credit card (subject to processing fees).
- 4.7Prices subject to change with 30 days written notice.
5 SUBSCRIPTION PLANS AND COMMITMENTS
- 5.1Minimum 6-month commitment for route contract pricing.
- 5.2Unused stops do not roll over to subsequent months.
- 5.3Customer may upgrade plan with 14 days notice.
- 5.4Downgrades effective at next billing cycle.
- 5.5Early termination subject to Section 10.
6 CUSTOMER OBLIGATIONS
- 6.1
Parcels must be:
- Properly packaged for transport
- Clearly labeled with complete address
- Ready at scheduled pickup time
- Within weight and size limits (20 lbs default)
- 6.2
Prohibited items include:
- Illegal goods, weapons, drugs
- Hazardous materials without proper documentation
- Perishables requiring temperature control (unless agreed)
- Cash, bearer instruments, jewellery over $500 value
- Live animals
- 6.3Customer warrants all information provided is accurate.
- 6.4Customer must notify us of address changes within 48 hours.
7 PICKUP AND DELIVERY
- 7.1Standard pickup window: 8:00 AM – 4:00 PM, Monday-Friday.
- 7.2Customer must have parcels ready at designated location.
- 7.3Missed pickups due to Customer unavailability forfeit that stop.
- 7.4Delivery attempts: One attempt at provided address.
- 7.5Undeliverable parcels returned to Customer, additional fees may apply.
- 7.6Recipient signature or photo constitutes proof of delivery.
8 LIMITATION OF LIABILITY
OUR MAXIMUM LIABILITY IS LIMITED TO $100 PER PARCEL unless declared value purchased.
- 8.2Declared value available up to $1,000 per parcel for additional fee of 1% of declared value.
- 8.3
WE ARE NOT LIABLE FOR:
- Consequential, indirect, incidental, special, or punitive damages
- Lost profits, revenue, business interruption, or opportunity costs
- Emotional distress or reputational harm
- Items improperly packaged by Customer
- Delays due to weather, traffic, road conditions, force majeure
- Incorrect address information provided by Customer
- Acts or omissions of recipient
- 8.4Service provided on “as is” and “as available” basis without warranties of any kind, express or implied, including merchantability or fitness for particular purpose.
9 CLAIMS PROCESS
⚠️ Written claim required within 48 hours of scheduled delivery.
- 9.2Claim must include: description of issue, photos, copy of manifest, proof of value.
- 9.3We have 30 days to investigate.
- 9.4Remedy limited to: repair, replacement (if available), or payment of declared value or $100, whichever is less.
- 9.5No claim for concealed damage reported after 48 hours.
10 TERM AND TERMINATION
- 10.1Agreement begins on service start date and continues until terminated.
- 10.2Customer may terminate with 60 days written notice after minimum commitment period.
- 10.3Early termination before minimum commitment requires payment of 3 months fees as liquidated damages (not a penalty).
- 10.4
We may terminate immediately for:
- Non-payment
- Breach of these Terms
- Abusive conduct toward staff
- Illegal or dangerous shipments
- 10.5
Upon termination:
- All outstanding amounts become immediately due
- Customer must arrange alternative service
- No refund of prepaid amounts
11 INDEMNIFICATION
Customer agrees to indemnify, defend, and hold harmless Glidex, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from:
- Customer’s breach of these Terms
- Contents of Customer’s shipments
- Injury to third parties during delivery
- Violation of applicable laws
- Negligence or misconduct of Customer
12 INTELLECTUAL PROPERTY
All trademarks, service marks, logos, and content are property of Glidex or licensors. Customer receives no license to use our marks.
13 PRIVACY AND DATA
- 13.1We collect and use personal information in accordance with our Privacy Policy and PIPEDA.
- 13.2Delivery photos taken for proof of delivery, retained 90 days then deleted.
- 13.3Customer consents to collection of delivery location data.
14 GOVERNING LAW AND DISPUTE RESOLUTION
- 14.1These Terms governed by laws of Alberta, Canada.
- 14.2Parties submit to exclusive jurisdiction of courts of Grande Prairie, Alberta.
- 14.3Any dispute shall first proceed to non-binding mediation in Grande Prairie.
- 14.4If mediation fails, parties may pursue litigation in Alberta courts.
- 14.5Each party bears own legal costs unless court orders otherwise.
- 14.6Customer waives any right to participate in class action.
15 GENERAL
- 15.1These Terms constitute entire agreement, superseding all prior agreements.
- 15.2No waiver of any breach constitutes waiver of any other breach.
- 15.3If any provision unenforceable, remaining provisions continue in full force.
- 15.4We may assign these Terms without consent. Customer may not assign without our written consent.
- 15.5Headings for convenience only, not affect interpretation.
- 15.6French language version available upon request (where required by law).
16 NOTICES
- 16.1Notices to us: legal@glidexdelivery.com
- 16.2Notices to Customer: email on file or registered mail to business address.
- 16.3Notice deemed received 24 hours after email or 5 days after mailing.
17 CHANGES TO TERMS
We may modify these Terms at any time. Changes effective upon posting to website. Continued use constitutes acceptance. Material changes notified by email.
